浅谈并购中目标企业的选择

摘要

    在经济的全球化进程迅速发展，国内产业结构面临重大调整升级的大背景下，企业并购成为了企业发展的主要手段和必然趋势。也成为了推动产业结构调整、优化市场经济资源配置方面的重要组成部分。并购是企业发展的需求，但是如果选择了错误的并购目标企业，不仅会导致亏损，严重的情况下还将会导致在市场经济环境下被其他同类企业或新兴企业打败，大型企业还将会连累市场大盘，造成经济上的波动，影响GDP增速的保持。本文将结合理论和实际，分析目标企业特征法及其他各种方法，浅谈并购中目标企业的选择的方法和策略。

Abstract

Under the background of the rapid development of the globalization of the economy and the major adjustment and upgrading of the domestic industrial structure, mergers and acquisitions have become the main means and inevitable trend of enterprise development. It has also become an important part of promoting industrial restructuring and optimizing the allocation of market economy resources. M&A is the demand of enterprise development, but if you choose the wrong M&A target enterprise, it will not only lead to losses, but also will lead to being defeated by other similar enterprises or emerging enterprises in the market economy environment, and large enterprises will continue to suffer. The market is big, causing the economy. This paper will combine the theory and practice, analyze the target enterprise feature method and other various methods, and discuss the methods and strategies of the target enterprises in the merger.
